Coloquio End User License Agreement (EULA) and Terms of Service

1. Identification and Acceptance of Terms
This End User License Agreement ("Agreement" or "Terms") governs the relationship between Emilio Zdenko Abarca Cruz ("We", "Our", or "Coloquio"), as the sole operator and owner of the mobile application Coloquio, and the individual users ("User", "You", or "Your") who download, install, or use the platform.
Coloquio is a social event-discovery platform designed to connect users with cultural, social, and entertainment activities in their locality.
By downloading Coloquio from the Apple App Store or Google Play Store, creating an account, or utilizing any services provided within the platform, You expressly acknowledge, understand, and agree to be bound by these Terms without reservation. If You do not agree to these Terms, You must immediately cease using the platform and delete the application from Your device.
2. Eligibility and Age Restrictions
Coloquio establishes strict eligibility criteria to protect its community and comply with global digital privacy standards:
- Under 13 Years Old: Individuals under the age of 13 are strictly prohibited from creating an account or using the platform under any circumstances. We do not knowingly collect data from children under 13.
- Minor Users (Ages 13 to 17): Individuals between the ages of 13 and 17 may create an account and browse events only under the supervision and with the explicit, verifiable consent of a parent or legal guardian. The parent or legal guardian assumes full legal and financial responsibility for the minor's actions within the platform.
- Ticket Purchases and Legal Capacity (18+): The purchase of event tickets, processing of payments, and registration for paid activities within the platform are strictly restricted to users who are 18 years of age or older and possess full legal capacity to enter into binding financial contracts.
3. End User License Agreement (EULA)
Coloquio grants You a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, and use the application on authorized mobile devices (iOS and Android) solely for Your personal, non-commercial use, strictly in accordance with these Terms.
You explicitly agree that You shall not, nor permit any third party to:
- Decompile, reverse engineer, disassemble, or attempt to derive the source code of the platform.
- Copy, modify, adapt, archive, or create derivative works based on Coloquio’s interface, design, software, or text.
- Utilize automated scripts, web scraping, bots, or data extraction tools to crawl or aggregate content from the platform.
- Use the Service for any unauthorized commercial purposes or fraudulent schemes.
4. User Accounts and Registration Process
To access the core functionalities of Coloquio, You must complete a strict 6-step registration process, providing accurate and truthful information:
- Step 1: Full legal name (first name and last name).
- Step 2: A unique username (formatted as @username).
- Step 3: Date of birth (used strictly for age verification compliance).
- Step 4: Current city and country of residence.
- Step 5: Selection of a minimum of 3 interest categories out of the 18 available options.
- Step 6: Profile picture upload (optional).
You are solely responsible for maintaining the strict confidentiality of Your account credentials and for any activity that occurs under Your account. Coloquio shall not be held liable for any loss or damage arising from unauthorized access to Your account due to Your failure to safeguard Your credentials.
5. User-Generated Content (UGC) and Zero-Tolerance Policy
Coloquio allows users to interact by posting comments, event descriptions, and visual media (Memories). You retain ownership of the content You upload, but grant Coloquio a worldwide, royalty-free license to display it within the Service.
Strict Zero-Tolerance Policy for Objectionable Content: There is absolute zero tolerance for objectionable, offensive, or harmful content within Coloquio. You are strictly prohibited from uploading, posting, or transmitting any content that:
- Promotes violence, hate speech, discrimination, racism, or harassment against any individual or group.
- Contains sexually explicit, pornographic, obscene, or indecent material.
- Features illegal activities, including the promotion of illicit drugs, weapons, scams, or financial fraud.
- Infringes upon the intellectual property rights, trademarks, or privacy rights of third parties.
Moderation and Enforcement Mechanisms: Coloquio provides visible, built-in in-app tools allowing any user to flag or report objectionable content or abusive users.
- 24-Hour Review Window: Coloquio pledges to review all user reports regarding objectionable content within a maximum timeframe of 24 hours.
- Removal and Banning: Any content found in violation of this policy will be permanently removed within that 24-hour window. Coloquio reserves the absolute right to immediately suspend, restrict, or permanently ban the account of any user who violates these content guidelines, without prior notice or liability.
6. Financial Terms, Service Fees, and Refund Policy
Coloquio provides ticketing features integrated securely with Stripe Connect for events managed by independent Organizers.
- Minimum Ticket Price: The absolute minimum entry cost for any paid ticket listed on the platform is set at $80.00 MXN (Eighty Mexican Pesos). Transactions below this amount are restricted by the system.
- Non-Refundable Coloquio Service Fee: For providing the digital infrastructure, payment tokenization, and ticket delivery, Coloquio charges a 12% Service Fee on top of the base ticket price. This 12% Service Fee is strictly non-refundable under any circumstance.
- Refund Structure: In the event of a valid cancellation, rescheduling, or an authorized refund request approved by the Event Organizer, only the base cost of the ticket will be returned to the User. By initiating a purchase, the User explicitly agrees and understands that the 12% Coloquio Service Fee covers transactional and administrative costs already executed, and therefore will not be refunded.
- Cancellation and Refund Policy by Organizer: In the event that an organizer cancels a paid event, they have a maximum period of 48 hours from the moment of cancellation to process the corresponding refunds to all attendees. Funds may take between 5 and 10 business days to be reflected in the buyer's account, depending on the bank or payment method used. Coloquio is not responsible for direct refunds; it acts as an intermediary and ensures that the organizer complies with this deadline.
7. Account Deletion and Data Retention
In compliance with Apple and Google developer policies regarding the "Right to be Forgotten", users can autonomously trigger the permanent deletion of their profile at any time.
The explicit, standard execution path to delete an account within the app is: Profile Screen -> Settings -> Delete Account
Upon confirming deletion, Your personal identifier data, custom configurations, and uploaded Memories will be securely purged from active servers within 30 business days. Financial transaction logs are legally retained for longer periods to satisfy tax, anti-money laundering, and compliance regulations managed via Stripe.
8. Limitation of Liability
Coloquio is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied. Emilio Zdenko Abarca Cruz does not guarantee that the application will function uninterrupted, completely secure, or entirely free of operational errors.
To the maximum extent permitted by applicable law, Coloquio shall not be held liable for:
- Indirect, incidental, special, exemplary, or consequential damages.
- Loss of data, profits, use, or goodwill resulting from Your use or inability to use the Service.
- The physical behavior, safety, security, or logistical quality of the events discovered through the platform. Events are hosted exclusively by third-party organizers, and Coloquio acts solely as a technological intermediary.
- Total liability for any claim arising out of this Agreement shall never exceed the total amount paid by You to Coloquio during the twelve (12) months immediately preceding the event giving rise to liability.
9. Modifications to the Agreement
We reserve the right to modify, amend, or update this Agreement at any time. Significant changes affecting user rights or monetary terms will be communicated via in-app alerts, push notifications, or registered emails. Your continued use of Coloquio following the publication of changes constitutes full legal acceptance of the updated Terms.
10. Governing Law and Governing Jurisdiction
This Agreement, its interpretation, and any legal disputes or claims arising out of or in connection with the use of Coloquio shall be governed strictly by the laws of the State of Mexico and the federal laws of the United Mexican States.
The User and Coloquio explicitly agree to submit any dispute, discrepancy, or legal action strictly to the competent courts located in the city of Toluca, State of Mexico, Mexico, expressly waiving any other jurisdiction or venue that might correspond to them by reason of their present or future domiciles.
