Coloquio Terms and Conditions for Event Organizers

PREFACE
These Terms and Conditions for Event Organizers ("Organizer Terms") are a legally binding addendum to the Coloquio End User License Agreement (EULA). By creating an Organizer account and listing events (whether free or paid) on the Coloquio platform, You ("The Organizer") expressly agree to both the EULA and these Organizer Terms.
Emilio Zdenko Abarca Cruz ("We", "Our", or "Coloquio") operates solely as a technological intermediary and payment collection agent. Coloquio is not the creator, host, or sponsor of the events listed on the platform.
1. Legal Capacity and Identity Verification (KYC)
To organize events on Coloquio, You must meet strict legal and identity requirements:
- Age Requirement: You must be at least 18 years of age and possess full legal capacity to enter into binding financial contracts.
- Know Your Customer (KYC): You agree to provide accurate, current, and truthful information, including official government-issued identification and valid tax/banking details.
- Verification Rights: Coloquio, through its payment partner (Stripe), reserves the absolute right to suspend Your account, hide Your events, or withhold ticket payouts if You fail to complete the identity verification process or if fraudulent activity is suspected.
2. Stripe Connect Integration and Payment Processing
Coloquio utilizes Stripe Connect to facilitate secure transactions between Attendees and Organizers.
- Stripe Onboarding: To sell paid tickets, You must successfully complete the Stripe Express onboarding process. This requires linking a valid bank account (CLABE for Mexico) and providing Your Tax Identification Number (RFC in Mexico).
- Acceptance of Stripe Terms: By processing payments through Coloquio, You simultaneously agree to the Stripe Connected Account Agreement and the Stripe Acceptable Use Policy.
- No Direct Access to Financial Data: Coloquio does not store, and You will not have access to, any credit card numbers or financial data belonging to the Attendees.
3. Pricing, Service Fees, and Payout Schedule (Payouts)
When listing a paid event, the following financial rules apply strictly:
- Minimum Ticket Price: The minimum base price for any paid ticket listed on the platform is $80.00 MXN.
- Coloquio Service Fee: Coloquio charges a non-refundable 12% Service Fee on top of the base ticket price set by the Organizer. This fee is paid by the Attendee at checkout and is retained directly by Coloquio to cover platform maintenance and payment processing infrastructure.
- Payout Schedule: To mitigate the risk of fraud and event cancellations, payouts (Your ticket revenue) will be transferred to Your linked bank account 3 to 5 business days AFTER the successful conclusion of the event. Coloquio will not disburse funds prior to the event's execution.
4. Cancellations, Refunds, and Chargeback Liability
As the Organizer, You assume 100% of the financial risk associated with Your events.
- Refund Policy: You are responsible for honoring refund requests in accordance with local consumer protection laws. If a refund is issued, only the base ticket price is returned; the 12% Coloquio Service Fee remains strictly non-refundable.
- Event Cancellations: If You cancel an event, You must immediately authorize Coloquio to issue mass refunds to all registered Attendees. You are legally responsible for covering any negative balances or insufficient funds in Your Stripe account required to execute these refunds.
- Cancellation Refund Deadline: In the event that You cancel a paid event, You have a maximum period of 48 hours from the moment of cancellation to process the corresponding refunds to all attendees. Funds may take between 5 and 10 business days to be reflected in the buyer's account, depending on the bank or payment method used. Coloquio acts as an intermediary and will supervise that You comply with this deadline.
- Disputes and Chargebacks: In the event an Attendee initiates a fraudulent dispute or credit card chargeback, You (The Organizer) assume total financial responsibility. Coloquio will automatically deduct the full chargeback amount, plus any dispute penalty fees imposed by Stripe, directly from Your payouts or linked bank account.
5. Organizer Responsibilities and Prohibited Events
You are the sole entity responsible for the quality, safety, logistics, and legality of Your events.
- Event Liability: Coloquio assumes zero liability for property damage, personal injury, logistical failures, or unmet expectations at Your events.
- Intellectual Property Guarantee: You warrant that You own or have the explicit licenses for all images, logos, and promotional materials uploaded to Your event listing.
- Prohibited Activities: It is strictly prohibited to organize events that promote violence, illegal activities, exploitation, the illicit sale of drugs, weapons, or any activity that violates local or federal laws. Violation of this clause will result in immediate termination of Your account and reporting to the appropriate legal authorities.
6. Attendee Data Handling and Privacy (LFPDPPP Compliance)
When an Attendee purchases a ticket or RSVPs to Your event, You will receive access to limited data strictly for event management purposes: Name, Email Address, and RSVP status.
- You act as an independent Data Controller for this information and must protect it in compliance with the Mexican Federal Law on the Protection of Personal Data Held by Private Parties (LFPDPPP) and any other applicable privacy laws.
- Strict Prohibition: You are strictly forbidden from selling, renting, or sharing Attendee data with third parties, or using it for unsolicited marketing (spam) unrelated to the specific event they registered for.
7. Account Termination
Coloquio reserves the right to terminate Your Organizer privileges, freeze funds (subject to Stripe's risk policies), and permanently ban Your account if You violate these Terms, receive excessive chargebacks, or pose a risk to the platform’s integrity.
8. Governing Law and Jurisdiction
These Organizer Terms shall be governed strictly by the laws of the State of Mexico and the federal laws of the United Mexican States.
Any legal dispute, claim, or financial discrepancy arising between the Organizer and Coloquio shall be submitted exclusively to the competent courts located in the city of Toluca, State of Mexico, Mexico. The Organizer expressly waives any other jurisdiction that may correspond by reason of present or future domiciles.
